Partner network terms
How MemberLoop works with brands as a partner (also called a publisher or affiliate) in programs on PartnerStack, Impact, Awin and similar networks, and in direct programs. Written so a partnership manager can review us in a few minutes.
At a glance
1. Who we are
MemberLoop is based in Toronto, Ontario. We run an integrated member benefits platform for Canadian professional and trade associations. Each portal runs inside the association's own brand and member login, and members get member pricing on things they already buy.
MemberLoop is free for the association. Brands pay a commission on confirmed sales, and MemberLoop passes a share to the member's association as non-dues revenue. Member data stays with the association.
2. How these terms fit with yours
When we join your program, we accept your network's partner terms and your program terms. These terms explain how we work and add the commitments brands usually ask about.
Where these terms and your program or network terms cover the same point differently, your program or network terms apply to that program. A signed agreement between us applies over both.
3. Where and how we promote your offer
- In association portals. Your offer appears in the offers catalogue of each association's portal, with your name and logo, behind the member sign-in. Each association chooses which offers it features.
- Through the association, if it chooses. An association may mention offers in its own newsletters and channels, to members who already receive them.
- On memberloop.ca, in general terms only. We may say which categories and brands are available to members. We don't publish member prices or codes on public pages.
- In English and French. We publish your offer in both languages, and you approve the final text.
- Sponsored placement, only if you book it. Paid placements are always labelled Sponsored.
4. What we don't do
- Bid on your brand names, trademarks or misspellings of them in paid search, or run paid ads that link straight to your site, unless your program allows it in writing.
- Post member prices, codes or offers on public coupon, deal or code-sharing sites, or let members redistribute them.
- Use cookie stuffing, forced clicks, pop-ups, pop-unders, hidden frames, browser extensions or software that sets, injects or overwrites tracking.
- Strip, change or replace your tracking parameters, or claim sales we didn't refer.
- Pay or reward members for clicking, signing up or buying. Members see member pricing. The association's share is revenue sharing with the association, not a reward to the member.
- Send commercial email or messages without consent. Our messages follow Canada's Anti-Spam Legislation (CASL).
- Make claims about your products that you haven't approved, or use your brand in our domain names, social media handles or account names.
- Show your offer next to adult, hateful, illegal or misleading content.
5. Disclosure
Members can see that MemberLoop earns a commission when they buy, and that a share goes to their association. Sponsored placements are labelled Sponsored. We follow the Competition Act and Ad Standards guidance on disclosure in Canada, and the FTC Endorsement Guides where they apply.
6. Using your brand
We use your name, logo and offer text only to present your offer, as your program allows. We use your logo as supplied, without changes. If you ask us to change or remove anything, we do it within 5 business days, or sooner if your program requires it.
7. Using our brand
You can say your offer is available to members of associations on MemberLoop, and use our logo as supplied in our media kit. Don't use an association's name or logo without that association's written permission, and don't describe an offer as endorsed by an association unless it has agreed to endorse it.
8. Tracking and attribution
We use the tracking links your network or program provides. We may add a sub-ID to each link that refers to the association and the offer, so you can see where each sale came from. Sub-IDs never contain a member's name, email or other personal information. Attribution, cookie length and validation follow your program's rules.
9. Commission and payment
- Rate. The commission set in your program, or agreed in writing for a member offer.
- Payment. Through your network on its normal payment cycle, or as set out in a direct agreement.
- Reversals. Sales your program declines, cancels or refunds under its validation rules pay no commission.
- Payee. Payments go to MemberLoop. We give each network the tax and payment details it asks for.
- Associations. MemberLoop pays each association its share. You never pay an association directly.
10. Member data and privacy
We never sell member data or give brands an association's member list. When a member buys from you, you receive the order and checkout details they give you, as with any customer, under your own privacy policy. We handle personal information under PIPEDA and, for members in Quebec, Law 25. Please don't try to identify members from tracking data beyond the order details they give you.
11. Offer content
You're responsible for your offer terms and for honouring them. We may edit wording to fit the portal's plain style, and you approve the final text. When your offer changes or ends, tell us or update your program, and we update the portals within 5 business days.
12. Confidentiality
We keep your non-public program terms, commission rates and reports confidential. We share commission information with an association only as needed to report its own share.
13. Following the law
Each of us follows the laws that apply to our part of the program, including CASL, the Competition Act, PIPEDA, Quebec's Law 25 and Charter of the French Language, and provincial consumer protection law. Offers in regulated categories, such as financial services and insurance, also follow our offer guidelines.
14. Ending a partnership
Either of us can end a partnership as your program or network terms allow. When it ends, we remove your offer and brand from the portals within 5 business days. Commission on valid sales referred before the end date stays payable under your program terms.
15. Liability
Each of us is responsible for our own content, conduct and legal obligations. Limits on liability follow your program or network terms. Where they say nothing, neither of us is liable to the other for indirect or consequential losses, to the extent the law allows.
16. Changes to these terms
We'll post changes here with a new effective date. Changes don't alter terms already agreed in your program or in a signed agreement.
17. Governing law
Unless your program or network terms say otherwise, these terms are governed by the laws of Ontario and the federal laws of Canada that apply there.
